These Terms of Service ("Terms") govern your access to and use of the CapoScore website located at caposcore.com (the "Site") and any services, content, features, or applications offered by CapoScore Inc. ("CapoScore," "we," "us," or "our"). By accessing or using our Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Site.

1. Acceptance of Terms

By accessing, browsing, or using the Site in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you are using the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Proprietary Rights and Intellectual Property

3.3 Behavioral Assessment Disclaimer

CapoScore provides human behavioral assessment services using proprietary AI and algorithmic analysis. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

• Any assessments, scores, analyses, or output are not definitive determinations of truth, deception, intent, or any other conclusion
• Results are probabilistic indicators only and should not be treated as conclusive evidence
• Our technology has inherent limitations and may produce inaccurate or incomplete results
• Results should never be the sole basis for any decision, especially decisions with legal, financial, employment, or other significant consequences
• You are solely responsible for independently verifying all information and for any decisions you make based on our content
• Human judgment and professional expertise should always be applied in conjunction with any output from our systems

3.4 No Reliance

YOU EXPRESSLY AGREE THAT YOUR USE OF THE SITE AND ANY RELIANCE ON ITS CONTENT IS AT YOUR SOLE RISK. CAPOSCORE SHALL NOT BE LIABLE FOR ANY ACTIONS TAKEN OR NOT TAKEN BASED ON THE CONTENT OF THIS SITE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CAPOSCORE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL CAPOSCORE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100). THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF CAPOSCORE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5. Indemnification

You agree to indemnify, defend, and hold harmless CapoScore and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your access to or use of the Site, your violation of these Terms, your violation of any third-party rights, including intellectual property rights, or any claim that your use of the Site caused damage to a third party.

6. User Content and Uploads

6.1 User Responsibility

The Site may allow you to upload, submit, store, or transmit video content, files, or other materials ("User Content"). You are solely responsible for all User Content that you upload, submit, store, or transmit through the Site. CapoScore does not claim ownership of your User Content, and CapoScore assumes no responsibility or liability for any User Content uploaded by you or any third party.

6.2 Representations and Warranties

By uploading, submitting, or transmitting any User Content to the Site, you represent and warrant that:

• You own all rights, title, and interest in and to the User Content, or you have obtained all necessary permissions, licenses, consents, and authorizations from the rightful owner(s) to upload, submit, and use the User Content on the Site
• The User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or any other proprietary rights
• You have obtained all necessary consents from any individuals appearing in the User Content, and such individuals have authorized the use of their likeness, voice, and any other personal attributes
• The User Content does not violate any applicable law, statute, regulation, or ordinance
• The User Content is not defamatory, obscene, threatening, harassing, or otherwise unlawful
• You have the legal authority and capacity to grant the rights and licenses set forth in these Terms

6.3 License Grant

By uploading User Content to the Site, you grant CapoScore a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, modify, analyze, and display the User Content solely for the purpose of providing the services, including behavioral analysis and assessment, and for improving and developing our technology and services.

6.4 No Monitoring Obligation

CapoScore has no obligation to monitor, review, or screen User Content, and CapoScore is not responsible for the accuracy, completeness, appropriateness, or legality of any User Content. However, CapoScore reserves the right, in its sole discretion, to remove, disable, or restrict access to any User Content at any time, for any reason, without prior notice.

6.5 Storage and Retention

You are solely responsible for maintaining backup copies of your User Content. CapoScore is not responsible for any loss, corruption, or deletion of User Content. CapoScore makes no guarantee regarding the availability, retention, or preservation of User Content and may delete User Content at any time in accordance with our data retention policies.

6.6 Indemnification for User Content

You agree to indemnify, defend, and hold harmless CapoScore from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, including but not limited to claims alleging that your User Content infringes or violates any third party's intellectual property rights, privacy rights, or other rights.

7. Prohibited Conduct

In addition to the restrictions set forth above, you agree not to use the Site for any unlawful purpose or in violation of any applicable laws, impersonate any person or entity, interfere with or disrupt the Site or connected networks, attempt to gain unauthorized access to any portion of the Site, use the Site to transmit any viruses or harmful code, or engage in any activity that could damage or impair the Site.

We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. Your use of third-party websites is at your own risk.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and CapoScore regarding your use of the Site. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
